Other ESOP types

  1. STAK (Stichting Administratiekantoor): A Dutch foundation mechanism that issues depositary receipts for shares, enabling employee participation. It permits employees to gain financial benefits from share ownership without direct share ownership or voting rights.
  2. Share Plan Certificates: Physical or digital certificates representing company share ownership. Though less common due to electronic record systems, some companies still utilize them for employee share plans, typically displaying share quantity, date, corporate seal, and signatures.
  3. Restricted Stock Units (RSUs): Company shares promised to employees via employment agreements but not fully owned until specified conditions are met (vesting based on tenure or performance). Unlike stock options, RSUs retain value despite stock price declines.

Variations of Stock Options

  1. 409A Valuation: A valuation requirement under U.S. Internal Revenue Code Section 409A. Companies must establish fair market value for their common stock using reasonable methods, typically via third-party specialists, to set stock option strike prices.
  2. EMI (Enterprise Management Incentives): A UK stock option scheme designed to help small, high-risk companies attract and retain talent through tax-advantaged share ownership. EMI options are frequently granted at fair market value discounts with favorable tax benefits.
  3. Incentive Stock Options (ISOs) and Non-Qualified Stock Options (NSOs): Common U.S. stock option types. ISOs provide tax advantages exclusively to employees, while NSOs apply to employees, consultants, and board members, with different tax treatments at exercise and sale.
